(NASDAQ: RMKR), a leading provider of sales and marketing solutions combining hosted application software and execution services, today announced that it has filed a preliminary prospectus supplement for a proposed public offering of its common stock. The proposed offering is expected to include a total of 4,165,690 shares, including 3,500,000 newly-issued primary shares to be offered by the Company and 665,690 shares to be offered by the selling stockholders named in the preliminary prospectus supplement. In addition, the Company expects to grant the underwriters a 30-day option to purchase up to an additional 624,853 shares of common stock to cover over-allotments, if any.
The Company intends to use the net proceeds from the offering for general corporate purposes, including working capital, capital expenditures, and potential acquisitions of complementary technologies and businesses. Needham & Company, LLC is acting as the lead manager and A.G. Edwards & Sons, Inc. and Craig-Hallum Capital Group LLC are acting as co-managers.
